These Terms of Service apply to REEF.com (the “Site”), and all other websites maintained by REEF or its affiliates (hereinafter referred to as “REEF”, “we”, “us” or “our”). By using the Site, you agree to be bound by these terms and any other terms and conditions, agreements or policies set forth on the Sites or incorporated by reference, including without limitation, the Privacy Policy and the Messaging Terms & Conditions (collectively the “Terms and Conditions”).
IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, DO NOT USE THE SITE. REEF may change the Terms and Conditions from time to time, at its sole discretion. Please periodically visit this section of the Site to review the current version of these terms. Your continued use of the Site after any such update constitutes your binding acceptance of such changes, except where applicable law requires additional notice regarding such updates, in which case we will comply with such additional notice requirements.
DISCLAIMER OF WARRANTY. THE SITE IS PROVIDED FREE OF CHARGE, AND ACCORDINGLY IS PROVIDED “AS IS” AND WITH ALL FAULTS. USE THE SITE AT YOUR OWN RISK. REEF MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH REGARD TO THE SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, REEF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, AND ALL IMPLIED TERMS AND CONDITIONS, INCLUDING BUT NOT LIMITED TO THOSE RELATED TO MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, REEF, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT (i) THE SITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (ii) THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (iii) THE SITE ARE FREE OF ERRORS; (iv) THE FUNCTIONS OR FEATURES OF THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS; (v) DEFECTS WILL BE CORRECTED, OR (vi) THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
REEF MAKES NO WARRANTY THAT IT WILL UPDATE OR CONTINUE TO OFFER OR MAKE AVAILABLE THE SITE, INCLUDING WITHOUT LIMITATION ANY PARTICULAR WEBSITE, APP, OR SERVICE FOR ANY PARTICULAR LENGTH OF TIME. THE FOREGOING DISCLAIMERS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS OR YOUR USE OF THE SITE.
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE REMAINS WITH YOU.
EXCLUSION OF DAMAGES AND LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEF OR ANY OF ITS AFFILIATES, AND ITS AND THEIR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR LICENSORS, SUCCESSORS OR ASSIGNS OF EACH, SHALL NOT BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL,PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA, WHETHER IN AN ACTION IN CONTRACT, TORT, PRODUCT LIABILITY, STATUTORY OR OTHERWISE THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE, OR ANY OTHER SITE, THE ACCURACY OF THE INFORMATION ON THE SITE OR THE PERFORMANCE OF THE SITE OR PRODUCTS PURCHASED THROUGH THE SITE OR THE CONDUCT OF OTHER SITE USERS (WHETHER ONLINE OR OFFLINE) OR ANY USER CONTENT, EVEN IF REEF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE. YOUR ONLY REMEDY AGAINST REEF FOR USE OF THE SITE OR ANY CONTENT IS TO STOP USING THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IF REEF, ITS AFFILIATES, AGENTS, AND/OR EMPLOYEES ARE FOUND LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH IS IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE OR ANY CONTENT, SUCH LIABILITY SHALL NOT EXCEED $100.00 USD. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
THE FOREGOING LIMITATIONS ARE FUNDAMENTAL AND MATERIAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN REEF AND YOU AND WILL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW.
INDEMNIFICATION. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless REEF, its affiliates, officers, directors, employees, agents, licensors and suppliers from and against all claims, losses, liabilities, expenses, damages and costs, including, without limitation, attorneys’ fees, arising from or relating in any way to your Content, your use of Content, your use of the Site, your conduct in connection with the Site or with other Site users, or any violation of these Terms of Service or other applicable terms, any law or the rights of any third party. We reserve the right to assume the exclusive defense and control of such disputes, and in any event you will cooperate with us in asserting any available defenses.
PROMOTIONS. We may, from time to time, make available to you certain promotional offers, exclusive offers and special offers, including but not limited to discounts or free shipping (collectively, “Offers”). All Offers are subject to the terms and conditions of the specific Offer and may not be combined with other Offers unless expressly permitted. Only one Offer may be used per order, and we may limit your ability to combine offers and promotions. Offers will apply only to in-stock items. We reserve the right to decline orders where we determine, in our sole discretion, that the Offer or use thereof is invalid. Any purchase made using an Offer must comply with the terms and conditions of the Offer in order to qualify for the Offer, and may be subject to additional conditions than those contained in these Terms of Sale. For the avoidance of doubt, Offers may not be redeemed for cash. Availability of Offers is not guaranteed, and Offers may be discontinued at any time.
REFUNDS. We offer refunds of new, unworn items purchased from Reef.com when you submit your request for a return through our returns portal in accordance with our returns policy, which can be found here: https://www.reef.com/pages/returns-exchanges. Regular items are ineligible for return/refund after 30 days, final sale items are always ineligible for returns. Offer only valid in the USA excluding Puerto Rico and any US territories. Returns or restocking fees may apply, and will be deducted from your refund.
USER BEHAVIOR AND PROHIBITED USES. You are solely responsible for your User Content, your interactions with other users and your activity on the Site. Do not take any action or post anything that may expose REEF or its users to any harm or liability of any type. Do not register any third party for an account, services, promotions, contests or sweepstakes without their knowledge and explicit consent. Such actions are prohibited and could give rise to civil and criminal proceedings. Do not post any User Content, take any action or use the Site in a way that violates any law, would create liability or promotes illegal activities. Do not take any action on the Site designed to interfere, disrupt, damage, disable, overburden or limit the functionality of any computer software or hardware, telecommunications equipment or the Site. Do not post User Content that contains software viruses, programs or other computer code. Do not circumvent or modify any Site security technology or software.
Without limiting the foregoing, in using the Site, you agree that you shall not, and shall not encourage, assist, or enable any other third party to: (i) reproduce, duplicate, modify, copy, adapt, distribute, transmit, display, sell, rent, lease, loan, transfer, publish, create derivative works from or otherwise exploit for any purpose the content, software, products, services or data found in or on the Site;(ii)alter or tamper with any materials on or associated with the Site; (iii)engage in any activity that could cause us to violate any applicable law, statute, ordinance, or regulation;(iv) engage in any conduct that is fraudulent, inaccurate, infringing, libelous, defamatory, abusive, offensive, obscene, or otherwise violates any law or right of REEF, its users, or any third party, including privacy rights, copyrights, or other intellectual property rights;(v) submit, send, post, upload or otherwise make available unsolicited or unauthorized advertising or commercial communications, such as spam, advertising, promotional materials, junk mail, chain letters or any other form of solicitation; (vi) attempt to circumvent any technological measure implemented by use or any of our providers or any other third party (including another use) to protect or restrict access to the Site; (vii) attempt to decipher, remove, decompile, disassemble or reverse engineer any software or other underlying code in the Site, or use any network monitoring or discovery software to determine the Site architecture; (viii)remove or modifyany copyright, trademark, or other proprietary rights notice that appears on any portion of the Site, or on any materials printed or copied from the Site;(ix)use any robots, spiders, scrapers or any other automated means to access the Site for any purpose;(x) take action that imposes, or may impose, in the discretion of REEF, an unreasonable or disproportionately large load on REEF’s infrastructure;(xi) collect or harvest, including by means of spidering or use of spyware, any data (including personally identifiable information) from the Site;(xii) resell or make any commercial use of the Site except as authorized hereunder without our prior written consent;(xiii) impersonate another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity;(xiv) disrupt, overwhelm, attack, modify or interfere with the proper working of the Site, or impede or interfere with others’ use of the Site;(xv) access any content on the Site through any technology or means other than those provided or authorized by the Site; (xvi) transmit any viruses, malicious code or other computer instructions or technological means whose purpose is to disrupt, damage or interfere with the use of computers or related systems; (xvii) use any content on the Site in any manner that may infringe ay intellectual property right, proprietary right, or property right of us or any third party; (xviii) access the Site to build a similar or competitive website, application, product, or service; or (xix) use the Site in any way except as permitted by these Terms.
ELIGIBILITY, REGISTRATION AND PASSWORDS. To become a member of the Site, or post User Content, you may be required to register for an account. You agree to provide accurate and current information about yourself in all registration forms on the Site. You may only use the Site if you can form a binding contract with REEF (either on behalf of yourself or the entity you represent), and only in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations. You must be over the age of majority in your jurisdiction to use the Site, unless your parent or legal guardian agrees to these Terms on your behalf and grants you permission to use the Site. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to do so. You cannot access or use the Site if you are barred from receiving the Site under applicable law or have previously been suspended or removed from the Site.
Your account may be deleted without warning if you misrepresent your age. You are responsible for any actions that take place while using your account. Keep your username and password secure and do not allow anyone to use your username and password to access the Site. REEF is not responsible for any loss that results from the unauthorized use of your username and password, with or without your knowledge. You agree to notify us immediately of any unauthorized use of your username and password.
INTELLECTUAL PROPERTY. All intellectual property on the Site (except for User Content) is owned by REEF or its licensors, which includes materials protected by copyright, trademark, or patent laws. All trademarks, service marks and trade names are owned, registered and/or licensed by REEF. All content on the Site (except for User Content), including but not limited to text, software, scripts, code, designs, graphics, photos, sounds, music, videos, applications, interactive features and all other content (“Content”) is a collective work under the United States and other copyright laws and is the proprietary property of REEF. All rights reserved.
Without the prior written consent of REEF or its relevant licensors, no license or other right to the use of the contents is granted either explicitly or implicitly or in any other way. Any unauthorized use of the Content is strictly prohibited and will be subject to civil and criminal prosecution by REEF. The viewing, printing or downloading of any graphic, form, document or other content from the Site grants you only a limited, nonexclusive and nontransferable license for use solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content may be reproduced in any form or incorporated into any information system, electronic or mechanical, other than for your personal use (but not for resale or redistribution). Any unauthorized use of the Site and its contents terminates the license granted hereby.
FEEDBACK. From time to time, you may provide us with comments, suggestions, or ideas for enhancements, improvements, changes, or additions to the Site or our business in general, including ideas for new features, materials, and other content (“Feedback”). By providing us Feedback, you grant to us exclusive ownership of the Feedback and of all intellectual property rights and other rights in it, and you will provide us with reasonable cooperation in documenting this grant. REEF has no obligation to do anything with Feedback, but we will have the full, worldwide, unencumbered right to use, incorporate, and otherwise fully exercise and exploit any such Feedback via all forms of media, distribution methods, and technology now known or later developed, for any purposes, commercial or otherwise, and to transfer or license our rights in the Feedback, without notice, acknowledgement or compensation to you.
USER CONTENT. “User Content” is communications, materials, information, data, opinions, photos, profiles, messages, notes, website links, text information, music, videos, designs, graphics, sounds, and any other content that you and/or other Site users post or otherwise make available on or through the Site, except to the extent the Content is owned by REEF. You are solely responsible for any User Content that you make available through the Site, including any necessary third-party rights in the User Content. All notices, proposals, ideas, feedback, comments, complaints and other contents which you create and/or provide to REEF, will be regarded as provided on a non-confidential basis. REEF reserves the right to use this information at its exclusive discretion. REEF is not subject to any obligation to prescreen User Content. We reserve the right to pre-screen any User Content before its appearance on the Site, and may forbid or prevent you from posting, uploading, storing, sharing, sending or displaying such User Content to and through the Site at any time. We may, in our sole discretion, reject, move, edit, or remove any User Content that is submitted to the Site for any reason whatsoever, including without limitation, User Content that violates these Terms.
REEF does not guarantee the Site will be free from User Content that is inaccurate, deceptive, offensive, threatening, defamatory, unlawful or otherwise objectionable. REEF is acting as a passive channel for such distribution and is not undertaking any obligation or liability relating to any User Content or activities of users on the Site. In the event that REEF chooses to monitor any User Content, REEF assumes no responsibility for, or any obligation to monitor or remove, such User Content. REEF reserves the right to edit, remove, or refuse to post any User Content or terminate your registered account for any reason. REEF shall be under no obligation to treat the User Content as confidential or to respond to any submissions. Your User Content is not confidential or proprietary.
You grant, and warrant that you have the right to grant, to REEF a non-exclusive, non-revocable, worldwide, transferable, royalty-free, perpetual, sub-licensable license to use your User Content in any manner or media now or later developed, for any purpose, commercial, advertising, or otherwise, including the right to translate, display, reproduce, modify, create derivative works, sublicense, distribute, assign and commercialize without any payment due to you.
COPYRIGHT INFRINGEMENT It is not our intent to infringe on the intellectual property rights of others, and we will respond to allegations of copyright infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”). If you believe that your work has been improperly copied and posted on the Site, please provide us with written DMCA Notice that includes: (1) an electronic or physical signature of a person authorized to act on behalf of the copyright owner; (2) name, address, telephone number, email address; (3) a description of the copyrighted work that you claim has been infringed; (4) a description of where on the Site copyrighted work is located; (5) a statement that you have a good faith belief that the use of the copyrighted work is not authorized by the copyright owner, its agent, or the law; and (6) your sworn statement, signed by you and the copyright owner or his/her authorized agent, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
These requirements must be followed to give REEF legally sufficient notice of infringement. Send copyright infringement complaints to: consumercare@reef.com. You should use a subject line of “COPYRIGHT INFRINGEMENT.” Please note that we may request additional information before removing any allegedly infringing material.
We may notify you if we receive a DMCA Notice about User Content that you have submitted to the Site. If you receive a notification that you are allegedly infringing on another’s copyright, you may file a responsive notice (“Counter-Notice”). We will review all DMCA Notices and Counter-Notices in an objective manner. If we determine that the DMCA Notice is valid, we may remove the infringing material. If we determine that your Counter-Notice is valid, we will remove the complaint and take no further action regarding your User Account.
UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL (IN A DMCA NOTICE OR COUNTER-NOTICE) IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES.
Please note that this procedure is exclusively for notifying REEF and its affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with REEF’s rights and obligations under the DMCA, including 17 U.S.C. §512, but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws.
PRIVACY. For information about our data practices, including our collection and use of your information, please see our Privacy Policy. Our Privacy Policy applies to your use of the Site and is incorporated by reference into these Terms.
SMS MESSAGES. Text messages we send you are also governed by our Messaging Terms & Conditions.
LINKS. The Site may contain links to websites, applications or other products or services operated by other companies (“Third-Party Sites”). These third-party Sites are not operated by REEF and we do not endorse, monitor or have any control over these Third-Party Sites, which have separate terms of service and privacy policies. Please carefully read the terms and conditions of use and other policies of such Third-Party Sites. These Terms of Service do not apply to any Third-Party Sites. REEF is not responsible for the content or policies of Third-Party Sites. YOU AGREE THAT YOUR USE OF ANY THIRD-PARTY SITE IS AT YOUR SOLE RISK AND WITHOUT WARRANTIES OF ANY KIND BY REEF OR ITS AFFILIATES, EXPRESS, IMPLIED OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NONINFRINGEMENT. IN NO EVENT SHALL REEF OR ITS AFFILIATES BE LIABLE FOR DAMAGES ARISING FROM ANY USE OR TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY SITE OR FOR ANY INFORMATION APPEARING ON THIRD PARTY SITES.
PURCHASE OF PRODUCTS. You agree to pay all applicable charges and fees (including taxes, shipping and handling) related to any purchase you make on or through the Site, which are described upon checkout. All payments are processed and collected by our third-party service providers. By submitting your order, you represent that you are purchasing for private household use only. We do not authorize any sale of our products outside the U.S. or any commercial resale. We reserve the right to reject orders and limit order quantities in our sole discretion. All orders placed through the Site are subject to REEF’s acceptance. REEF may refuse to accept or may cancel any order, whether or not the order has been confirmed, for any or no reason, and without liability to you or anyone else. If your credit card has already been charged for an order that is later cancelled, REEF will issue you a refund. We do not accept any cancellations or returns except as specified in our Return & Cancellation Policies or required by applicable law.
MISCELLANEOUS.
ENTIRE AGREEMENT. These Terms constitute the entire agreement between you and REEF, and supersede any prior and contemporaneous agreements between you and REEF on the subject matter.
FORCE MAJEURE. Under no circumstances will REEF be liable for any delay or failure in performance resulting directly or indirectly from an event beyond its reasonable control.
MODIFICATION, SUSPENSION, AND TERMINATION. REEF reserves the right, in its sole discretion, at any time, change the Terms of Service, modify, discontinue or terminate the Site (or any part thereof) with or without notice, terminate or delete your account, and any of your User Content, restrict your use of all or any part of the Site for any or no reason, without notice, and without liability to you or any third party. REEF also reserves the right to block you or any third party from certain IP addresses or prevent access to the Site. If we terminate your right to access the Site, these Terms will terminate and all rights granted to you herein with respect to the Site will immediately terminate; however, certain provisions of these Terms will still apply after termination. REEF shall not be liable to you or any for any such modification, suspension, or discontinuance of the Site.
Notwithstanding the foregoing, upon termination, REEF reserves the right to archive your user account and/or retain User Content to the extent necessary to comply with legal and/or audit requirements or other applicable data retention policies.
APPLICABLE LAW AND JURISDICTION. The Terms of Service and any referenced Policies shall be governed by the laws of the Commonwealth of Massachusetts regardless of conflict of laws principles and not by the United Nations Convention on Contracts for the International Sale of Goods. You consent to exclusive jurisdiction and venue in courts sitting in Boston, Massachusetts. You waive all defenses of lack of personal jurisdiction and forum non conveniens. Except where prohibited, you agree that all disputes, claims and legal proceedings arising directly or indirectly out of or relating to the Site (including, but not limited to, the purchase of REEF products) or these Terms shall be resolved individually, without resort to any form of class action. You and REEF unconditionally waive any right to trial by jury in any action, proceeding, or counterclaim in any way arising out of or relating to these Terms or use of the Site. Any cause of action or claim you may have with respect to the Site (including, but not limited to, the purchase of REEF products) must be commenced within one (1) year after the claim or cause of action arises.
NOTICE. You agree that any notice, agreement, disclosure or other communication that REEF sends you electronically will satisfy any legal communication requirements, including that such communications be in writing. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form. By way of example only, such communication may be a general notice via the Site or via email to the email address associated with your REEF account. It is your obligation to update your REEF account information so that we may contact you as may be necessary. Such notice shall be deemed to have been given 48 hours after dispatch. If physical notice (e.g., US Mail) is used, then such notice shall be deemed to have been given 7 days after dispatch.
NO WAIVER. REEF’s failure to insist upon or enforce strict performance of any of these Terms of Service shall not be considered a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall modify any of these Terms of Service.
ASSIGNMENT. REEF may assign its rights and duties under these Terms of Service to any party at any time without notice to you.
SEVERABILITY. If any provision in these Terms of Service is held invalid, the remainder of these Terms of Service shall continue to be enforceable. If any provision in these Terms of Service is deemed unlawful, void or unenforceable, then you and REEF agree that such provision shall be modified or amended by the court or relevant authority to the extent necessary to render it enforceable, in accordance with the intent of the original provision and in compliance with applicable law, and the remaining provisions are still valid and enforceable.
THIRD-PARTY BENEFICIARIES. Except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.
NO AGENCY. No agency, partnership, joint venture or employee-employer relationship is intended or created by these Terms, and you shall have no right or authority to assume or create any obligations or to make any representations on behalf of REEF, or to bind REEF in any respect
ELECTRONIC PROCESSING. You agree that any agreements made by and between you and us in electronic form are as legally binding as if made in physical written form.
HEADINGS. Headings and subheadings in these Terms are for convenience only and have no legal or contractual effect.
SURVIVAL Any provision of these Terms that by its nature is reasonably intended to survive beyond termination of these Terms shall survive.
